About These Terms

1. To pursue its goals, CoreWound IQ, LLC operates a website (hereinafter the “Site”) devised to offer a wide range of medical devices and regenerative products for various medical disciplines. The website is available at www.corewoundiq.com.

2. The Site has a Public Area accessible to all visitors (hereinafter the “User”). The Public Area offers information on regenerative medicine along with products that the company sells. It also offers an Online Shop. The Site has a Provider Area that is available to Users who are registered as Providers and are logged in.

3. The Site also allows Users to subscribe to news and updates without registering as a Provider. Subscribing to news and updates does not grant access to the Provider Area.

4. Registration and subscription take place via dedicated online forms on the Site.

5. Any new services offered online in the Provider Area after initial registration shall also be governed by these Terms unless otherwise specified.

6. CoreWound IQ, LLC reserves the right to amend the present Terms at any time and without prior notice. Members shall accept such amendments by checking the appropriate checkbox.

Registration

1. Registration is open to all licensed healthcare professionals with an interest in regenerative medicine techniques and products.

2. Each User may only register once.

3. The User shall register online to become a Provider of CoreWound IQ, LLC.

4. CoreWound IQ, LLC screens all registration applications and reserves the right to reject a registration without providing reasons.

5. Upon registration, Providers are required to supply their name, business name, email address, mailing address, NPI number, and a password.

6. It is expressly forbidden to place accounts at the disposal of third parties or to disclose login details to others. It is additionally forbidden for the registered party to share any content, materials, or other information accessed through the Site with any third parties.

7. For technical reasons, CoreWound IQ, LLC cannot establish with certainty whether a registered Member is truly the person they claim to be. CoreWound IQ, LLC therefore provides no guarantee as to Members’ true identities.

8. Registration as a Provider results in a contractual relationship (usage contract) between CoreWound IQ, LLC and the Provider. By accepting the Terms, they become part of this contractual relationship. The member receives a personal, non-transferable right, revocable at any time, to use the contents and services provided by the Site and undertakes to comply with these Terms.

9. CoreWound IQ, LLC reserves the right to modify, suspend, or discontinue individual services and/or sections of the Provider Area, or all of them, at any time and without prior notice.

We collect, use, store, and transfer different kinds of personal data about you, grouped as follows:

• Contact Data: address, email address, telephone numbers.

• Profile Data: username, password, feedback you provide.

1. 2. The Provider Area offers access to copyrighted content. These materials may not be copied, transformed, or distributed without prior written consent from the author(s).

Non-Disclosure Agreement

1. In the Provider Area, Users of CoreWound IQ are granted access to unpublished materials, forums, personal profiles, and other confidential information. All such data must be kept confidential and not disclosed outside the designated circle of approved Providers.

2. Data from the Provider Area may not be disclosed or used outside the designated Provider circle without prior agreement from the author(s) and in accordance with CoreWound IQ’s copyright rules.

3. CoreWound IQ, LLC is not liable for the disclosure or consequences of disclosure by any Provider of confidential data submitted to the Site.

4. By registering, Providers accept responsibility for maintaining the confidentiality of the data provided to them and must report any breach of this Non-Disclosure Agreement to CoreWound IQ, LLC.

Data Protection and Use of Information

1. Collection, protection, use, and transmission of personal data submitted to the Site or otherwise collected by CoreWound IQ, LLC are governed by the CoreWound IQ Privacy Policy.

Languages

1. The primary language for communication and publications is English. CoreWound IQ, LLC may introduce additional languages in the future.

Guarantees

We do not knowingly solicit information from children, nor do we market to children. Our Site is aimed at business users and is not intended for individuals under the age of 18.

Our Right to Change This Policy

1. No guarantees are given regarding the accuracy of information and opinions conveyed via the Site, whether expressly or implicitly.

2. CoreWound IQ, LLC provides no guarantee regarding minimum uptime or availability of the Site. The underlying software is continually updated, and uninterrupted performance cannot be guaranteed.

3. CoreWound IQ, LLC reserves the right to block the Provider Area without notice when necessary for maintenance, security investigations, or analysis of abuse.

Liability

1. CoreWound IQ, LLC hereby disclaims all liability for the Website, including website content and communications. CoreWound IQ, LLC is not liable for losses resulting from inability to use the Site, including suspensions or interruptions of service.

2. CoreWound IQ, LLC accepts no responsibility for third-party links, third-party content, or member-uploaded materials. CoreWound IQ, LLC has no control over third-party sites. If CoreWound IQ, LLC incurs loss due to actions of a third party, that third party shall indemnify CoreWound IQ, LLC.

3. CoreWound IQ, LLC shall not be liable for minor negligence or indirect losses.

Final Provisions

1. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain valid. Failure by CoreWound IQ, LLC to enforce a provision does not constitute waiver of that provision.

Legal Jurisdiction

1. You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the United States and the laws of the State of Florida. You agree to personal jurisdiction in the state and federal courts of Pasco County, Florida, and waive objections to such jurisdiction.

2. Any claim under these Terms must be brought within one (1) year of the cause of action arising.

3. Except for out-of-pocket expenses, no damages may be sought. The prevailing party is entitled to attorney’s fees.

4. In the event of a dispute between CoreWound IQ, LLC and you, both parties will attempt in good faith to resolve the issue within 30 days. If unresolved, the matter may be submitted to mediation. If mediation fails, either party may pursue legal remedies.
